These Terms of Service ("Terms") are a contract between you and IOXFORGE TECHNOLOGIES LIMITED ("Ioxforge," "we," "us," or "our"), a company registered in Nigeria (RC 9271810). They govern your use of our website (ioxforge.com) and, collectively, the family of software products we build and operate (each, a "Product," together the "Products"), including Marktraq, and any Products we launch later. By using our website or any Product, you agree to these Terms.
1. Scope
These Terms state the general rules of use, billing, and conduct that apply across Ioxforge and every Product. Each Product may publish its own, more detailed product-specific terms of service covering that Product's specific features, plans, and usage rules, for example marktraq.com/tos. See Section 9 for how the two relate.
2. About Ioxforge and Our Products
Ioxforge is a product studio: we build and operate multiple SaaS Products under one corporate umbrella. We may add, change, or discontinue Products over time; doing so does not require a rewrite of these Terms.
3. Eligibility
You must be at least 16 years old to use our website or any Product. By using our website or a Product, you represent that you meet this requirement, or, where applicable, that you have the legal authority to accept these Terms on behalf of an organization.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate account and billing information and to keep it current. Notify us promptly of any unauthorized use of your account.
5. Subscriptions, Billing, and Paddle
Ioxforge Products are generally offered on a subscription basis. Paddle acts as our merchant of record for billing across Products: Paddle processes payments, issues receipts, handles applicable sales tax/VAT, and is the counterparty of record for your payment transaction. Subscription plans, pricing, trial terms, and billing cycles are set out on the relevant Product's own site and, where applicable, its product-specific terms. Refunds are governed by our Refund Policy.
6. Acceptable Use
You agree not to, in connection with our website or any Product:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of any person.
- Attempt to gain unauthorized access to our systems, other accounts, or data.
- Interfere with or disrupt the integrity or performance of our website or a Product.
- Use our website or a Product to transmit malware, spam, or unlawful content.
- Reverse engineer, resell, or misrepresent your relationship with Ioxforge or a Product, except as expressly permitted.
A Product's own terms may impose additional, use-specific rules; those additional rules apply on top of this general acceptable use policy for that Product.
7. Intellectual Property
Ioxforge and its Products, including their software, branding, and content (excluding content you submit), are owned by IOXFORGE TECHNOLOGIES LIMITED or its licensors and protected by intellectual property laws. These Terms do not grant you any rights in our trademarks or branding beyond what is needed to use our services as intended.
8. Disclaimers and Limitation of Liability
Our website and Products are provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, IOXFORGE TECHNOLOGIES LIMITED will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of our website or a Product. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Relationship to Product-Specific Terms
These Terms state the general rules that apply across Ioxforge and every Product. A Product may publish its own, more detailed product-specific terms of service covering that Product's plans, features, and usage rules, for example marktraq.com/tos. Where a Product's own terms address something these Terms do not, or provide more specific rules for that Product's use, the product-specific terms govern for that Product's use; these Terms continue to govern everything the product-specific terms do not address.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of laws principles. Any dispute arising from these Terms or your use of our website or a Product will be subject to the exclusive jurisdiction of the courts of Nigeria, unless a Product's own terms specify a different forum for disputes relating to that Product.
11. Changes to These Terms
We may update these Terms from time to time, including as we add new Products. We will update the effective date above when we do, and, for material changes, provide reasonable notice. Continued use of our website or a Product after changes take effect constitutes acceptance of the updated Terms.
